We are seeking an experienced Associate or Vice President to do tech M&A with an elite boutique bank. The banker will focus in the  software sector. The role is hybrid and based out of the firms San Francisco office. Your primary responsibility will be to provide strategic financial advice and execute transactions for clients in the software industry. You will work closely with software companies, private equity firms, venture capitalists, and other key stakeholders to drive mergers and acquisitions (M&A), initial public offerings (IPOs), private placements, and other capital market activities.

Key Responsibilities:

1. Deal Origination: Identify potential software companies as clients and build relationships with key decision-makers. Conduct market research and analysis to identify acquisition or investment opportunities for clients.
2. Financial Analysis: Evaluate the financial performance and valuation of software companies through in-depth analysis of their financial statements, market trends, and competitive landscape. Assess the potential synergies and risks associated with M&A transactions.
3. Transaction Execution: Collaborate with cross-functional teams to prepare marketing materials, financial models, and investment presentations. Manage due diligence processes, negotiate deal terms, and facilitate the execution of transactions, ensuring compliance with regulatory requirements.
4. Client Relationship Management: Build and maintain strong relationships with clients, acting as their trusted advisor. Provide strategic guidance on capital structure optimization, growth strategies, and financial market trends.
5. Industry Expertise: Stay updated on the latest developments and trends in the software industry, including emerging technologies, competitive landscape, and regulatory changes. Leverage this knowledge to provide valuable insights to clients and identify potential investment opportunities.

Qualifications:

• Bachelor’s degree in finance, economics, or a related field (MBA preferred)
• Strong understanding of the software industry, including key players, business models, and market dynamics
• Proven experience in investment banking, specifically in executing software-related transactions (M&A, IPOs, private placements, etc.)
• Proficient in financial modeling, valuation techniques, and financial statement analysis
• Excellent analytical skills and attention to detail
• Exceptional communication and presentation skills
• Ability to work in a fast-paced, deadline-driven environment
• Strong team player with the ability to collaborate effectively with cross-functional teams
